These Terms of Service (“Terms”) form a binding legal agreement between you and Slo Mo L.L.C-FZ, a free zone company established in Meydan Free Zone, Dubai, United Arab Emirates, with commercial licence number 2311599.01 (“Emma”, “we”, “us”, “our”), governing your access to and use of the Emma mobile application, website and related services (together, the “Service”).
By creating an account, accessing or using the Service in any way, you confirm that you have read, understood and accepted these Terms and our Privacy Notice. If you do not accept them, do not create an account and do not use the Service.
The Service is available only to individuals who are at least eighteen (18) years old and who have the legal capacity under the laws of their country of residence to enter into a binding contract.
Language. These Terms are made available in English. Any translation is provided for convenience only. In case of inconsistency, the English version prevails to the maximum extent permitted by applicable law.
1. About Emma
Emma is an intelligent space for self-discovery and human connection. It uses conversations, information you choose to share and your connection preferences to offer personal insights and suggest people who may be compatible with you.
1.1 Definitions
In these Terms, capitalised terms have the following meanings:
“Account” means the personal account you register to use the Service.
“Aggregated Data” means data that has been de-identified, anonymised or aggregated so that it does not identify any individual.
“AI Features” means any features of the Service that use artificial intelligence, machine learning, large language models or similar technologies to generate conversations, insights, recommendations, summaries or other outputs.
“AI Outputs” means any conversation, prompt, summary, insight, recommendation, compatibility indicator or other output generated by AI Features.
“Content” means any information, text, message, photograph, voice note, video, profile field, response, prompt or other material submitted, uploaded, generated or transmitted by a Member through the Service.
“Emma”, “we”, “us” and “our” mean Slo Mo L.L.C-FZ.
“Feedback” means any suggestion, idea, comment, enhancement request or recommendation relating to the Service that you provide to us.
“Introduction” means any suggestion, match, recommendation or connection generated by the Service between you and another Member.
“Member” means an individual who has registered an Account and accepted these Terms.
“Personal Data” has the meaning given in applicable data protection law.
“Sensitive Data” means categories of Personal Data classified as sensitive, special, restricted or requiring separate consent under applicable data protection law, including data relating to health, religious or philosophical beliefs, racial or ethnic origin, sex life, sexual orientation, political opinions, biometric data and criminal record.
“Service” means the Emma mobile application, website, AI Features, matching functionality, messaging, events and all related products, features and services made available by Emma.
“Third-Party Services” means services provided by third parties that may be integrated with, accessed through, or linked from the Service.
2. Your Account
You must be at least eighteen (18) years old and legally able to agree to these Terms. We may ask you to confirm your age or identity where we consider it appropriate for trust, safety, verification or legal compliance.
- Provide accurate, current and complete information and keep your profile updated.
- Keep your sign-in credentials secure. Notify us promptly at support@emma.love if you believe your Account has been accessed without your permission.
- Your Account is personal to you and non-transferable. You must not sell, rent, lend, share, transfer or assign your Account or your access credentials, permit any other person to use your Account, create an Account on behalf of another person, or create or maintain a new Account after we have suspended, restricted, terminated or declined an Account associated with you.
2.1 Your representations and warranties
By creating an Account and each time you access the Service, you represent and warrant to Emma that:
- you are at least eighteen (18) years old and have the legal capacity under the laws of your country of residence to enter into a binding contract;
- all information you provide to us, including in your profile and during identity or age verification, is true, accurate, current and complete, and you will keep it updated;
- you are not located in, resident in, established in, or a national of any country or territory subject to comprehensive economic sanctions administered by the United Nations, the United States, the European Union, the United Kingdom or the United Arab Emirates, and you are not listed on any applicable sanctions, terrorism or export-control list;
- you have not previously been removed, suspended, banned or restricted from the Service, and no Account previously associated with you has been terminated by Emma for breach of these Terms;
- your access to and use of the Service does not violate any law, regulation or contractual obligation applicable to you, including any law of the country from which you access the Service; and
- you are accessing the Service on your own behalf, for your own personal and non-commercial use, and not on behalf of, at the direction of, or for the benefit of any other person or organisation.
2.2 Emma's discretion regarding Accounts
We may, at our sole discretion and without liability to you, (i) refuse to register an Account, (ii) require you to complete identity, age or other verification before or during use of the Service, (iii) impose additional conditions on your continued use of the Service, or (iv) suspend, restrict, limit the functionality of, or terminate an Account, in each case with or without notice, where we consider it appropriate to protect the Service, other Members, third parties, Emma's legal, regulatory or commercial position, or public safety.
3. What Emma Offers
Emma may provide AI conversations, personal insights, profile controls, compatibility indicators, Introductions, member messaging, events and other features. The features available, and the number and timing of Introductions, depend on many factors including your intentions, compatibility settings, location, distance preferences and the number of Members in your area.
3.1 Nature of the Service
The Service is an information and communications platform that offers AI-generated content, profile tools, compatibility indicators and Introductions between Members. The Service is not a dating agency, marriage broker, matchmaker, escort service, introduction agency, background-checking service, therapy service, healthcare service or professional advisory service. Any Introduction, compatibility indicator, insight, recommendation or AI Output is a suggestion for your own consideration and is not a representation, warranty, endorsement, guarantee or professional opinion of any kind.
3.2 No guaranteed outcomes
Emma does not guarantee, warrant or represent that:
- you will receive any minimum or maximum number of Introductions, matches or messages;
- any Introduction will result in mutual interest, communication, a meeting, a relationship, a friendship, or any other outcome;
- any other Member is honest, safe, single, available, or as they appear in their profile;
- any AI Output is accurate, complete, current, reliable, safe or suitable for you or your circumstances;
- the Service will be available in any particular country, region, language or Member's location; or
- any specific feature will be provided, maintained or continued.
3.3 Availability and modification
The Service is provided for personal, non-commercial use only. We may add, modify, restrict, suspend, withdraw or discontinue any feature, functionality, region, language, price or aspect of the Service at any time, in whole or in part, with or without notice, and without liability to you.
3.4 Third-Party Services
The Service may integrate with, incorporate, link to, or rely on Third-Party Services (including for hosting, AI processing, identity verification, payments, maps, communications, analytics and app distribution). We do not control Third-Party Services and are not responsible or liable for their availability, content, accuracy, functionality, security, terms or practices. Your use of Third-Party Services is subject to their own terms and policies.
4. AI Features
4.1 Nature of AI Outputs
The Service includes AI Features that generate AI Outputs. AI Outputs are produced automatically by machine-learning systems and may be inaccurate, incomplete, out of date, biased, misleading, offensive, contradictory or otherwise unsuitable. AI Outputs are not statements of fact, professional opinions, diagnoses, assessments, judgements or advice about you or any other person. You must not rely on any AI Output as a basis for any decision that has legal, financial, medical, psychological, safety, employment, educational, housing, immigration or other significant consequences for you or any other person.
4.2 Emma is not professional or emergency support
Emma does not provide medical, psychological, psychiatric, legal, financial or other regulated professional advice. It is not a therapist, healthcare provider, emergency service or crisis service. If you or someone else may be in immediate danger, contact the emergency services or an appropriate crisis service where you are.
4.3 Your obligations when using AI Features
You must not:
- use any AI Feature to generate, request, encourage or facilitate content that is unlawful, harmful, defamatory, threatening, harassing, discriminatory, sexually exploitative of any person, related to a minor, or otherwise in breach of these Terms;
- attempt to identify, extract, reconstruct or reverse-engineer any model, training data, prompt, system instruction, embedding, weight or other technical component underlying the AI Features;
- use the AI Features to develop, train, evaluate, benchmark or improve any competing artificial intelligence model, product or service;
- engage in prompt injection, jailbreaking, or any technique intended to circumvent the safety, moderation, content, geographic or age restrictions of the Service;
- misrepresent AI Outputs as human-generated, or human-generated content as AI-generated, where such misrepresentation may deceive or harm any person; or
- use AI Features in any manner that would cause Emma or any Third-Party Service to breach its own terms of service, acceptable use policy or applicable law.
4.4 Ownership of AI Outputs
As between you and Emma, and to the maximum extent permitted by applicable law, Emma owns all rights, title and interest in and to the AI Features, the underlying models and systems, and the AI Outputs. To the extent any rights in an AI Output would otherwise vest in you, you assign them to Emma on creation, and grant Emma a perpetual, irrevocable, worldwide, royalty-free, sub-licensable and transferable licence to use them for any purpose. Where you provide prompts, inputs or instructions to the AI Features, you retain ownership of your Content but grant Emma the licence set out in Section 6.
4.5 Automated processing
Emma does not use AI Features to make decisions that produce legal or similarly significant effects on your access to employment, credit, housing, insurance, education, healthcare, or comparable services. Where applicable data protection law grants you rights in relation to automated processing, you may exercise those rights in accordance with our Privacy Notice.
5. Personal Data and Privacy
This Section 5 describes how Emma collects, uses, shares and protects your Personal Data, and the rights available to you. It serves both as a contractual provision of these Terms and as the privacy notice required by applicable data protection law, including UAE Federal Decree-Law No. 45 of 2021 (PDPL), the EU and UK General Data Protection Regulation (GDPR), the California Consumer Privacy Act (CCPA), and comparable laws elsewhere.
5.1 Data controller
The controller of your Personal Data is Slo Mo L.L.C-FZ, Meydan Grandstand, 6th floor, Meydan Road, Nad Al Sheba, Dubai, United Arab Emirates. For any privacy matter, contact support@emma.love.
5.2 Personal Data we collect
We collect and process the following categories of Personal Data:
Account and profile data: name, email address, phone number, date of birth or age confirmation, photographs, voice notes, location, gender, intentions, connection preferences and other profile fields you complete.
Conversation and Content data: messages, voice notes, prompts, responses, and other Content you exchange with the AI Features or with other Members.
AI-derived data: insights, compatibility indicators, embeddings and other outputs Emma generates from information you share.
Verification data: identity documents, selfies, liveness data and results of age or identity checks, where applicable.
Safety data: reports you submit or that are submitted about you, block records, moderation notes and evidence preserved in connection with safety cases.
Payment data: billing details, transaction records and payment method identifiers processed through our payment providers.
Technical and usage data: device identifiers, IP address, operating system, app version, log data, diagnostic data, performance metrics, approximate location derived from IP, and interaction data with the Service.
Communications: your correspondence with our support team.
5.3 Sensitive Data
Content you choose to share may reveal Sensitive Data about you, including data relating to health, religious or philosophical beliefs, racial or ethnic origin, sex life, sexual orientation, political opinions or biometric characteristics. You decide what to share. Where applicable law requires your separate, explicit consent to process Sensitive Data, we will request it clearly through the Service, and you may withdraw it at any time without affecting the lawfulness of processing carried out before withdrawal. You must not share Sensitive Data of any other person unless you have that person's explicit, informed consent.
5.4 Purposes and legal bases for processing
We process your Personal Data for the following purposes, on the following legal bases:
To provide the Service (creating and managing your Account, generating Introductions, enabling messaging and AI conversations, delivering paid features): performance of our contract with you.
To protect the Service and its users (safety, security, fraud prevention, abuse investigation, content moderation, enforcement of these Terms): our legitimate interests in operating a safe platform, and compliance with legal obligations.
To comply with law (retention obligations, response to lawful requests from authorities, tax, accounting, regulatory reporting): compliance with legal obligations.
To communicate with you (service messages, transactional emails, support responses): performance of our contract; and for marketing communications, your consent (which you can withdraw at any time) or, where permitted, our legitimate interest in promoting the Service to existing Members.
To improve and develop the Service (analytics, product research, bug diagnostics, service reliability): our legitimate interests in improving what we offer.
To process Sensitive Data: your explicit consent, or another lawful basis available under applicable law.
To create and use Aggregated Data: our legitimate interests, and because Aggregated Data does not identify individuals.
You have the right to object to any processing based on legitimate interests, as described in Section 5.9.
5.5 Sharing with service providers
We use carefully selected service providers to operate the Service. These providers process Personal Data on our behalf, under written agreements that limit their use of the data to the purposes we specify and require appropriate safeguards. Categories of service providers include: cloud hosting and infrastructure; database, storage and content-delivery providers; AI model providers and inference infrastructure; identity and age verification providers; payment processors; email and communications providers; product analytics and error-reporting providers; and security, fraud-prevention and content-moderation providers. A current list of our key service providers is available on request at support@emma.love and may be updated from time to time as the Service evolves.
5.6 Other disclosures
We may also disclose Personal Data:
to other Members, to the extent you choose to make Content visible to them through your profile, messages or other Service features;
to law-enforcement, regulatory, tax, child-safety or other authorities, or in response to a legal process, court order or lawful request, where we consider disclosure necessary or appropriate;
to protect the rights, property, safety or interests of Emma, our Members, our service providers or any other person, to enforce these Terms, or to preserve evidence in connection with any of the foregoing;
to any actual or prospective acquirer, investor, financing party or successor in connection with a corporate transaction, subject to appropriate confidentiality protections; and
with your consent or at your direction.
We do not sell your Personal Data. We do not share your Personal Data for cross-context behavioural advertising.
5.7 International transfers
Emma is based in the United Arab Emirates. Your Personal Data may be processed in the UAE and in other countries where we or our service providers operate, including countries in the European Economic Area, the United Kingdom, the United States, and jurisdictions in Asia, the GCC and North Africa. Some of these countries may not offer the same level of data-protection law as your country of residence. Where required by applicable law, we implement appropriate safeguards for international transfers, including standard contractual clauses, adequacy decisions, binding corporate rules of our service providers, or your explicit consent. You may request further information about the transfer mechanisms we use by contacting support@emma.love.
5.8 Retention
We retain Personal Data for as long as reasonably necessary to fulfil the purposes described in this Section 5, including to provide the Service to you, to comply with legal, regulatory, tax, accounting or reporting obligations, to resolve disputes, to enforce our agreements, and to protect our Members and the Service. Specific retention periods depend on the type of data, the purpose of processing and applicable legal requirements. When you delete your Account, we remove your Account and profile from the active Service and delete or de-identify other Personal Data from active systems within a reasonable period, subject to the limited categories of records we retain for safety, fraud-prevention, legal, regulatory or dispute-resolution purposes. Encrypted backup copies are cycled out of our systems on a routine schedule. We cannot retrieve or delete copies of Content that other Members or third parties may have saved outside the Service before your Account was deleted.
5.9 Your rights
Subject to applicable law and to reasonable verification of your identity, you have the following rights in relation to your Personal Data:
Access: to obtain confirmation of whether we process your Personal Data and a copy of it.
Rectification: to have inaccurate or incomplete Personal Data corrected.
Erasure: to have your Personal Data deleted, subject to exceptions permitted by law.
Restriction: to restrict our processing of your Personal Data in certain circumstances.
Objection: to object to processing based on our legitimate interests, and to object at any time to processing for direct marketing.
Portability: to receive your Personal Data in a structured, commonly used format, or have it transmitted to another controller, where technically feasible.
Withdrawal of consent: to withdraw consent at any time, without affecting the lawfulness of processing carried out before withdrawal.
Automated processing: to request information about, and where applicable human review of, decisions that produce legal or similarly significant effects on you.
Complaint: to lodge a complaint with the UAE Data Office or another competent supervisory authority in your country of residence.
Additional rights may apply if you are a resident of the European Economic Area, the United Kingdom, California or another jurisdiction that grants specific data-subject rights. To exercise any right, contact support@emma.love. We may need to verify your identity, and lawful exceptions or limitations may apply. We will respond within the timeframe required by applicable law.
5.10 Content of other persons
You must not share, upload, publish, or transmit any Personal Data or Content relating to any other individual through the Service unless you have that individual's informed, specific consent or another valid legal basis. You are solely responsible for any claim brought by any third party in relation to Content you share about them, and you will indemnify Emma against such claims in accordance with Section 12.
5.11 Security
We implement appropriate technical and organisational measures designed to protect Personal Data against unauthorised access, disclosure, alteration, loss or destruction, taking into account the nature of the data, the risks involved and the state of the art. No online service can be guaranteed completely secure. You are responsible for keeping your Account credentials confidential and for the security of the devices you use to access the Service.
5.12 Aggregated Data
We may create Aggregated Data from information processed through the Service and use, retain, disclose, sell, license and otherwise exploit that Aggregated Data for any lawful purpose, including product development, research, benchmarking, security, analytics, marketing and commercial purposes, without further notice to you and without restriction. Aggregated Data is not Personal Data and this Section 5 does not restrict our use of it.
5.13 Staff access to Content
We restrict access to Member Content and conversations. Our general staff cannot browse Member conversations, and our administrative tools are not designed to display them. Access to Member Content and conversations is limited to a small number of authorised personnel and only where reasonably necessary for a specific, legitimate purpose, including safety, abuse or fraud investigation, Member support you have requested, technical debugging, service reliability, or compliance with a legal obligation. All such access is subject to internal controls, is logged, and is audited. We do not use Member conversations for general staff review, marketing or entertainment.
6. Your Content
6.1 Ownership of Content
As between you and Emma, you retain ownership of the Content you submit to the Service. Emma does not claim ownership of your Content.
6.2 Licence to Emma
You grant Emma a worldwide, non-exclusive, royalty-free, fully paid-up, sub-licensable and transferable licence to host, store, cache, reproduce, copy, publish, distribute, transmit, display, adapt, modify, translate, create derivative works from, and otherwise use and exploit your Content:
- for the operation, provision, maintenance, promotion, protection, improvement and development of the Service;
- for the exercise of Emma's rights and the performance of Emma's obligations under these Terms;
- to implement your visibility, privacy and sharing choices;
- for the safety, security, integrity, fraud-prevention and enforcement purposes described in Section 5.5;
- to comply with applicable law, legal process and lawful requests of any competent authority; and
- to create Aggregated Data and to use that Aggregated Data as described in Section 5.4.
This licence takes effect when you submit the Content and continues for so long as Emma retains a copy of the Content in any system, including active systems, backup systems, safety-report evidence, litigation-hold records, and any records retained for legal, regulatory, tax, accounting, dispute-resolution or enforcement purposes.
6.3 Sub-licensing
The licence in Section 6.2 includes the right for Emma to grant sub-licences to Third-Party Services, affiliates, service providers, agents and successors, in each case as reasonably necessary to give effect to the purposes set out in Section 6.2.
6.4 Feedback
You grant Emma a perpetual, irrevocable, worldwide, royalty-free, fully paid-up, sub-licensable and transferable licence to use, reproduce, modify, adapt, publish, distribute, exploit and commercialise any Feedback for any purpose, without attribution, compensation or any obligation to you. Feedback is not confidential.
6.5 Your representations and warranties regarding Content
You represent, warrant and undertake to Emma, on a continuing basis, that:
- you own your Content, or have obtained all rights, licences, consents, permissions, waivers and releases required to submit it and to grant the licence in Section 6.2;
- your Content, and Emma's use of your Content in accordance with these Terms, does not and will not infringe or violate any intellectual property right, moral right, right of privacy, right of publicity, right of personality, contractual right, or any other right of any person, or any applicable law;
- your Content is accurate, is not misleading or deceptive, and does not misrepresent your identity, age, location, relationship status, intentions or any other material fact;
- you have obtained the informed, specific, freely-given and demonstrable consent of every identifiable individual (other than yourself) whose image, voice, likeness, Personal Data, communications or other identifying information appears in your Content, and you can produce evidence of that consent on request;
- your Content does not contain any Sensitive Data of any person other than yourself, and where it contains your own Sensitive Data, you have chosen to include it voluntarily and consent to Emma's processing of it as described in the Privacy Notice; and
- your Content complies with these Terms, our Community Guidelines and applicable law.
6.6 Visibility and sharing
You control which profile fields, photographs and other Content are made visible to other Members through the settings available in the Service. You are responsible for reviewing and configuring your settings. Content you make visible to other Members is disclosed by you to those Members, and Section 5.3 applies.
6.7 No obligation to display or retain
Emma has no obligation to publish, host, display, retain, transmit or preserve any Content, and may at its sole discretion refuse to accept, remove, delete, restrict access to, or decline to display any Content, with or without notice, and without liability to you.
6.8 Content of others
You must not record, capture, screenshot, forward, publish, share, distribute, index, aggregate, or otherwise process the messages, photographs, voice notes, videos, profile Content, Personal Data or communications of any other Member outside the Service, except (i) with that Member's specific consent, (ii) as expressly permitted by the Service's features, or (iii) as required by law. Any breach of this provision is a material breach of these Terms.
7. Conduct and Community Standards
7.1 Prohibited conduct
You must not, and must not permit or facilitate any other person to, use the Service to do or attempt to do any of the following:
- harass, threaten, stalk, intimidate, exploit, abuse or discriminate against any person, or promote hatred or violence;
- impersonate any person, misrepresent your affiliation with any person or organisation, create a false identity, or use another Member's Account or credentials;
- request, share, transmit or distribute sexual or intimate content without consent, non-consensual intimate imagery, or any content that sexually exploits any person;
- upload, transmit, request, share, solicit or facilitate any content that sexualises, exploits, endangers or is otherwise inappropriate involving any person under eighteen (18) years of age, including any child sexual abuse material or any content that Emma is required to report to law-enforcement or child-safety authorities in any jurisdiction;
- use the Service to engage in or facilitate any commercial sexual activity, escort service, prostitution, human trafficking, smuggling or any activity prohibited by anti-trafficking laws;
- use the Service to buy, sell, exchange, transport or supply any illegal or restricted goods or substances, including narcotics, weapons, or any item the sale or transfer of which requires a licence you do not hold;
- defraud any person, request or accept money or financial credentials from any Member, promote investments, cryptocurrencies or commercial schemes, or use the Service mainly for advertising, recruitment, promotion or lead generation;
- use the Service in any manner that violates the laws, regulations or public order of the country from which you access the Service, or of the United Arab Emirates, including laws relating to public morality, cybercrimes, personal status, national security, or offensive content;
- use the Service, or any Content on the Service, to identify, locate, contact, harass, monitor, surveil or track any Member outside the Service, or to compile any dossier or database concerning any Member;
- upload, create, transmit, request or share any deepfake, morphed, AI-generated, synthetically-created or manipulated image, video, audio recording or other content depicting any real person, other than yourself with your own consent, or in each case without the verifiable consent of the person depicted;
- collect, extract, harvest, scrape, index, cache, download, cross-reference, aggregate or create any dataset containing Member profiles, photographs, messages, Content, or Personal Data, whether by manual, automated or artificial-intelligence-assisted means;
- use the Service to conduct any journalistic, academic, market, competitive, product or safety research, study, benchmarking, investigation or exposé, without Emma's prior written consent;
- circumvent, disable, tamper with, interfere with or attempt to defeat any security, moderation, verification, age-gating, rate-limiting, geographic-restriction, payment, subscription, quota or other technical control of the Service;
- use any bot, script, crawler, spider, automated agent, artificial-intelligence agent or non-human means to access, interact with, register on, or use the Service, except with our express prior written consent;
- test, probe, scan or assess the vulnerability of the Service or attempt to breach or circumvent its security, other than in accordance with a formal vulnerability-disclosure programme we publish;
- send unsolicited communications, spam, chain messages, bulk messages, or any communication of a commercial, promotional, political, religious or ideological nature to Members;
- transmit any virus, worm, trojan, ransomware, spyware, malware or other malicious code, or upload any file that damages, disables, overburdens or impairs the Service or any Member's device;
- reverse engineer, decompile, disassemble, translate or attempt to derive the source code, models, weights, embeddings, algorithms or trade secrets of the Service, except to the extent expressly permitted by applicable law notwithstanding this prohibition;
- encourage self-harm, suicide, eating disorders, violence, crime or other conduct that creates a serious safety risk; or
- use the Service in a manner that causes or is likely to cause Emma to breach the terms of any Third-Party Service.
7.2 Reserved rights and no duty to monitor
Emma is not obliged to monitor, moderate, review, filter, verify, investigate, respond to reports about, or take action in respect of any Member, Account or Content. Any action Emma takes or does not take is at Emma's sole discretion and does not create any duty of care, warranty, undertaking or continuing obligation to any Member or third party.
7.3 Your responsibility for interactions
You are solely responsible for your interactions with, and any decisions you make regarding, other Members and any person you meet, communicate with, or transact with through or as a result of using the Service, whether online or in person. Emma has no control over the identity, character, honesty, safety, background, behaviour, communications, intentions, availability, health, sexual orientation, immigration status, relationship status, criminal record or any other attribute of any Member. Emma does not conduct comprehensive background, criminal, sex-offender-registry, financial, credit, employment, medical, marital-status or reference checks on any Member unless we expressly state otherwise. You assume all risk arising from your interactions with other Members and other persons you encounter through or as a result of the Service.
7.4 Reporting
If you become aware of any breach of these Terms, any illegal conduct, or any safety concern relating to another Member, Content or the Service, you may report it through the reporting controls available in the Service or by contacting support@emma.love. Reports are handled in accordance with Section 8.
8. Verification, Reports and Enforcement
8.1 Verification
Where the Service offers a verification badge, indicator or feature, that verification confirms only the specific matter described at the point of verification (for example, that a photograph appears to correspond to a live person). A verification badge is not an endorsement, guarantee, recommendation, or representation as to the identity, honesty, safety, character, background, availability, health, criminal record, immigration status or any other attribute of a Member. Emma does not conduct comprehensive criminal, sex-offender-registry, background, financial, credit, employment, medical, relationship-status, marital, immigration or reference checks on any Member unless we expressly state otherwise for a specific check. Any check we do conduct is conducted at the time stated, and does not extend to any later change in the Member's circumstances.
8.2 Reports
You may block or report a Member through the reporting controls available in the Service. If those controls are unavailable, you may contact support@emma.love . We may, but are not obliged to, review, investigate or act on any report. Where we consider it appropriate, we may preserve relevant Content and Account data pending review. We do not commit to any specific investigation process, timeframe, outcome, level of engagement with the reporter, or communication of results.
8.3 Enforcement actions
Where we consider it appropriate in our sole discretion, we may take any one or more of the following actions in respect of an Account, Content or Member, with or without notice, in any order, and to any extent: issue a warning; require additional verification; remove, restrict, hide, deprioritise, shadow, delete or refuse to display any Content; limit, disable, degrade or remove any feature; reduce visibility, discoverability or matching priority; pause, suspend or remove recommendations or Introductions; suspend, restrict, terminate or delete an Account; retain, preserve or take a snapshot of Content, Account data or communications; report the matter or disclose information to law-enforcement, regulatory or child-safety authorities; commence or defend legal proceedings; or take any other action we consider necessary or appropriate to (i) respond to a suspected or actual breach of these Terms or applicable law, (ii) protect any Member, third party, Emma or the public, (iii) preserve the safety, security, integrity or reputation of the Service, (iv) comply with any applicable law or lawful request, or (v) enforce these Terms. No action or inaction by Emma waives any other action or right.
8.4 No obligation, no waiver
Emma has no obligation to monitor, review, investigate, moderate, verify, act on reports, or take any enforcement action, and no Member or other person is entitled to require Emma to do so. Any action Emma takes or does not take in one case does not create any obligation, precedent, waiver, undertaking or continuing duty to take similar action in any other case. Emma's failure or delay in acting on any breach is not a waiver of the breach or of any right to act on it later.
8.5 Reconsideration
Where we suspend, restrict or terminate your Account, we may, at our sole discretion and where we consider it appropriate, permit you to submit information for reconsideration. Any reconsideration is at our sole discretion. No Member is entitled to reinstatement, restoration of Content, refund of any fee, compensation, explanation of the reasons for the decision, disclosure of evidence relied on, or any specific procedure or timeframe. This does not affect any right you may have under applicable mandatory consumer or data protection law that cannot be excluded.
9. Paid Features, Subscriptions and Payments
9.1 Fees and billing
Before you buy a subscription, feature or event, we will show the price, currency, billing period, renewal terms and what is included. You authorise the relevant payment provider or app store to charge the amount shown and any applicable taxes, duties, VAT or levies. All fees are exclusive of applicable taxes unless we state otherwise.
9.2 Automatic renewal
If a subscription renews automatically, we will tell you before purchase. You can cancel through the account, app store or payment method you used. Cancellation stops the next renewal and normally leaves access in place until the end of the current paid period, unless the purchase screen or applicable law provides otherwise.
9.3 Refunds
Payments are non-refundable unless the purchase terms or applicable mandatory consumer law give you a refund right. Deleting the app does not cancel a subscription, and cancelling a subscription does not delete your Account or your Personal Data. No refund is due if we suspend, restrict or terminate your Account for breach of these Terms.
9.4 App-store purchases
Purchases made through the Apple App Store or Google Play are additionally subject to the terms of the relevant app store, which govern billing, refunds and cancellation for those purchases. Where those terms conflict with this Section 9 for a specific purchase, the app-store terms apply to that purchase.
9.5 Price changes
If we change a price, we will notify you before the new price applies to a new billing cycle. The notice will explain the new price and when it begins. You may cancel at any time before that billing cycle starts to avoid the new charge.
9.6 Chargebacks
Initiating a chargeback or payment dispute without first contacting us in good faith at support@emma.love is a breach of these Terms and may result in suspension or termination of your Account and forfeiture of any unused balance.
10. Intellectual Property
10.1 Ownership
Emma and its licensors own the app, website, software, source code, models, algorithms, design, look and feel, user interfaces, branding, trademarks, trade names, logos, and all other protected parts of the Service, and all associated intellectual property rights worldwide. All rights not expressly granted to you in these Terms are reserved. No licence is granted by implication, estoppel or otherwise.
10.2 Your licence to use the Service
We grant you a limited, personal, non-exclusive, non-transferable, non-sublicensable and revocable licence to access and use the Service for its intended personal, non-commercial purpose while you comply with these Terms. This licence terminates automatically upon termination of your Account or these Terms.
10.3 Restrictions
You must not copy, modify, sell, license, distribute, publicly perform, publicly display, create derivative works from, frame, mirror or exploit any part of the Service, except as expressly permitted by these Terms or applicable law that cannot be excluded by contract.
10.4 Trademarks
“Emma”, the Emma logo, and all related names, logos, product and service names, designs and slogans are trademarks of Slo Mo L.L.C-FZ or its affiliates. You may not use them without our prior written consent. All other trademarks appearing on the Service are the property of their respective owners.
10.5 Third-party intellectual property claims
If you believe that any Content on the Service infringes your intellectual property rights, please send a notice to ip@emma.love including (i) your identification and contact details, (ii) identification of the allegedly infringed right, (iii) identification of the allegedly infringing material and its location on the Service, (iv) a statement made in good faith that you believe the use is unauthorised, and (v) your electronic or physical signature. We may remove allegedly infringing Content, notify the poster, and terminate the Accounts of Members who repeatedly infringe intellectual property rights.
11. Changes, Interruptions and Termination
11.1 Availability
We work to keep the Service available and secure, but no online service is uninterrupted or error-free. We may maintain, test, update, replace, restrict or discontinue features. Where required by applicable law, we will provide notice of material changes; otherwise changes take effect immediately upon deployment.
11.2 Your right to stop using the Service
You may stop using the Service at any time. You may cancel a subscription and delete your Account using the relevant controls in the Service.
11.3 Termination by Emma
We may limit, suspend, restrict or terminate your Account or your access to the Service at any time, with or without notice, in accordance with Sections 2.2 and 8.3, or where required by applicable law.
11.4 Effect of termination
On termination of your Account or these Terms: (i) your right to access and use the Service ends immediately; (ii) the licence granted to you in Section 10.2 ends; (iii) the licence you granted to Emma in Section 6.2 continues in accordance with its terms; (iv) any accrued rights, remedies or obligations of either party are unaffected; and (v) the provisions of these Terms that by their nature should survive termination shall survive, including Sections 4.4, 5, 6, 10, 12, 13, 14, 15 and 16.
12. Disclaimers, Liability and Indemnity
12.1 Service provided “as is”
To the fullest extent permitted by applicable law, the Service is provided on an “as is” and “as available” basis, without warranty of any kind, whether express, implied, statutory or otherwise. Emma disclaims all warranties, including merchantability, fitness for a particular purpose, non-infringement, accuracy, uninterrupted operation, security, and any warranty arising from course of dealing or usage of trade.
12.2 No warranty as to Members, outcomes or AI
We do not verify, endorse or vouch for any Member. We do not warrant the identity, character, conduct, intentions, honesty, safety, background, marital status or fitness of any Member. We do not guarantee any number of Introductions, any match, any relationship or any personal outcome. We do not warrant the accuracy, completeness, reliability, suitability or safety of any AI Output or of any Content provided by another Member or a Third-Party Service.
12.3 Exclusion of loss
To the fullest extent permitted by applicable law, Emma, its affiliates, officers, directors, employees, agents, licensors and service providers shall not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profits, revenue, data, goodwill, opportunity, reputation, or anticipated savings, whether arising in contract, tort (including negligence), statute or otherwise, and whether or not advised of the possibility of such damages. This exclusion applies in particular to loss caused by another Member, loss caused by reliance on any AI Output, loss caused by a Third-Party Service, and loss caused by the offline or online conduct of any person you encounter through the Service.
12.4 Aggregate liability cap
To the fullest extent permitted by applicable law, Emma's total aggregate liability arising out of or in connection with the Service, these Terms or your use of the Service, however arising and whether in contract, tort, statute or otherwise, shall not exceed the greater of (i) the fees actually paid by you to Emma in the twelve (12) months preceding the event giving rise to the claim, or (ii) one hundred United States Dollars (US$100).
12.5 Time bar
Any claim you may have arising out of or in connection with the Service or these Terms must be commenced within one (1) year after the cause of action accrues, or it is permanently barred, to the extent permitted by applicable law.
12.6 Your indemnity
You will indemnify, defend and hold harmless Emma, its affiliates and their respective officers, directors, employees and agents from and against any and all claims, liabilities, damages, losses, costs and expenses (including reasonable legal fees) arising out of or in connection with (i) your Content, (ii) your use or misuse of the Service, (iii) your breach of these Terms, (iv) your violation of any law or of any right of another person, or (v) any dispute between you and another Member or third party. We may, at our option, assume the exclusive defence and control of any matter subject to indemnification, in which case you agree to cooperate with our defence.
12.7 Mandatory-law carve-out
Nothing in these Terms excludes or limits any liability that cannot lawfully be excluded or limited, including liability for fraud, fraudulent misrepresentation, death or personal injury caused by negligence where applicable, or breach of non-excludable consumer or data-protection rights. Where any exclusion or limitation is held unenforceable, the remaining exclusions and limitations shall apply to the maximum extent permitted.
13. Force Majeure
Emma shall not be liable for any failure or delay in the performance of its obligations under these Terms caused by any circumstance beyond its reasonable control, including acts of God, natural disasters, epidemic or pandemic, war, terrorism, civil unrest, government action, sanctions, embargoes, changes in law, labour disputes, failures of internet infrastructure, cyber-attacks, denial-of-service attacks, failures of cloud, hosting, AI, telecommunications or payment providers, or shortages of essential resources.
14. Confidentiality of Safety and Security Information
Information about our safety systems, moderation practices, verification processes, fraud-detection methods, security controls, incident-response procedures, AI safety measures, and the identity of Members subject to enforcement action is confidential. You must not publish, disclose, reverse-engineer or attempt to circumvent this information. This obligation survives termination of your Account.
15. Changes to these Terms
We may modify these Terms at any time by posting the updated version through the Service or by notifying you by email or another suitable method. Where required by applicable law, we will provide advance notice of material changes. Your continued use of the Service after the effective date of the updated Terms constitutes acceptance of them. If you do not accept an update, your sole remedy is to stop using the Service and, where relevant, cancel any subscription and delete your Account.
16. Governing Law and Dispute Resolution
16.1 Governing law
These Terms, and any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with them, the Service or your use of the Service, are governed by the federal laws of the United Arab Emirates and the laws applicable in the Emirate of Dubai, without regard to conflict-of-laws principles.
16.2 Informal resolution
Before commencing any formal proceeding, you must first contact us at support@emma.love with a detailed description of your claim and allow us thirty (30) days to attempt to resolve the matter in good faith.
16.3 Arbitration
Subject to Section 16.5, any dispute, controversy or claim arising out of or relating to these Terms or the Service, including its existence, validity, interpretation, performance, breach or termination, shall be finally resolved by arbitration administered by the Dubai International Arbitration Centre (DIAC) under its Arbitration Rules in force at the time of commencement, which are deemed to be incorporated by reference into this Section. The seat of arbitration shall be Dubai, United Arab Emirates. The language of the arbitration shall be English. The tribunal shall consist of one arbitrator. The award shall be final and binding on the parties.
16.4 Class-action waiver
To the fullest extent permitted by applicable law, you and Emma each waive any right to bring or participate in any class, collective, consolidated or representative action, or to have any claim resolved on anything other than an individual basis. If this class-action waiver is held to be unenforceable in any respect, then Section 16.3 (Arbitration) shall be unenforceable as to that respect, and the dispute shall be resolved in the courts identified in Section 16.5.
16.5 Court proceedings
Notwithstanding Section 16.3, either party may bring proceedings in the courts of Dubai, United Arab Emirates for (i) urgent injunctive, interim or conservatory relief, (ii) enforcement of an arbitral award, or (iii) any claim the arbitration of which is prohibited by applicable law. The parties submit to the exclusive jurisdiction of the courts of Dubai for such proceedings, subject to Section 16.6.
16.6 Consumer protection carve-out
If mandatory consumer law in your country of residence grants you the right to bring proceedings in your local courts, to apply your local law, or to non-excludable consumer protections, these Terms do not remove those rights.
17. General
17.1 Entire agreement
These Terms, together with the Privacy Notice, Community Guidelines and any purchase-specific or feature-specific terms, constitute the entire agreement between you and Emma regarding the Service and supersede all prior or contemporaneous communications, representations, statements or agreements, whether oral or written.
17.2 No reliance
You acknowledge that you have not relied on any representation, statement, warranty, promise or assurance not expressly set out in these Terms.
17.3 Conflict
In case of any conflict between these Terms and any other document, communication, marketing material, in-app statement or representation by any Emma employee, agent or representative, these Terms prevail. In case of conflict between these Terms and feature-specific or purchase-specific terms, the more specific terms apply to that feature or purchase.
17.4 Severability
If any provision of these Terms is held invalid or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, or if it cannot be modified, severed from these Terms. The remaining provisions shall continue in full force and effect.
17.5 No waiver
No failure or delay by Emma in exercising any right constitutes a waiver of that right. Any waiver must be in writing and signed by an authorised representative of Emma.
17.6 Assignment
You may not assign, transfer or delegate any of your rights or obligations under these Terms without our prior written consent. Emma may assign, transfer or delegate any of its rights or obligations under these Terms, in whole or in part, without restriction and without notice to you, including in connection with a reorganisation, financing, merger, acquisition or sale of the Emma business.
17.7 Notices
Notices to you may be given through the Service, by email to your registered address, or by posting on the Emma website. Notices to Emma must be sent to support@emma.love and are effective upon our acknowledgement of receipt.
17.8 No third-party beneficiaries
Except as expressly stated in Section 17.9, these Terms do not confer any rights on any third party.
17.9 Apple and Google terms
If you access the Service through the Apple App Store or Google Play, additional terms of those app stores apply. To the extent required by Apple Inc. or Google LLC, those companies are third-party beneficiaries of these Terms with the right to enforce them against you, and Emma (not Apple or Google) is solely responsible for the Service, its content, maintenance, support, warranties and any product-liability claims.
